Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of Private Car Finder’s products, including Reach (AI lead outreach) and Scout (inventory sourcing) (together, the “Service”). The Service is offered to businesses in the United States and Canada. By accessing or using the Service you agree to these Terms on behalf of your organization.
The Service is a tool — you are the sender
Private Car Finder provides software that helps your dealership send messages, source listings, and manage conversations. You direct what is sent, to whom, and when. For all messaging you originate through the Service, you — not Private Car Finder — are the “sender,” “originator,” and (where applicable) the message content provider under laws such as the U.S. Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and Canada’s Anti-Spam Legislation (CASL).
Private Car Finder acts as a service provider / processor that transmits messages and processes data on your behalf and under your instructions.
Your messaging accounts and credentials (bring-your-own Twilio)
The Service uses your own third-party messaging and communications accounts — including your Twilio account and telephone numbers, and any email or calendar providers you connect. You are responsible for opening and maintaining those accounts and for the fees, terms, and acceptable-use policies of those providers.
You authorize Private Car Finder to configure and operate those accounts on your behalf, including registering and managing A2P 10DLC brands and campaigns with The Campaign Registry and comparable Canadian messaging registrations. You remain the account owner and the registered brand/sender of record. You are responsible for keeping your registrations accurate and in good standing.
Your compliance responsibilities and representations
You represent and warrant that, for every person you contact through the Service, you have obtained and maintain records of all legally required consent (including prior express written consent where required) and that your outreach complies with all applicable laws and carrier rules — including the TCPA, CAN-SPAM, state telemarketing and “mini-TCPA” laws, and applicable Do-Not-Call rules in the United States, and CASL, PIPEDA, and provincial consumer-protection laws in Canada.
You are solely responsible for the content of your messages, your consent and opt-out records, honoring opt-out requests, respecting quiet-hours and frequency limits, and identifying yourself and your business in your messages. You will not contact anyone who has opted out or who has not consented.
Acceptable use
You agree not to use the Service to send unlawful, deceptive, misleading, harassing, or unsolicited messages; to send content prohibited by carriers (such as messages relating to illegal activity); to contact individuals without a lawful basis; or to violate any third party’s rights. We may throttle, suspend, or terminate access — with or without notice — for conduct that violates these Terms, breaches carrier or messaging rules, or creates legal or deliverability risk for the platform or other customers.
Your data and content
As between the parties, you own the lead data, contacts, and message content you upload or generate (“Customer Data”). You grant Private Car Finder a limited license to host and process Customer Data solely to provide and improve the Service. You are responsible for the accuracy of Customer Data and for having the right to provide it to us. Our handling of personal information is described in our Privacy Policy.
Free trial, subscriptions, and billing
The Service may be offered with a free trial. After the trial, continued use requires a paid monthly or quarterly membership. Fees are billed in advance and, except where required by law, are non-refundable. Plans renew for successive periods until cancelled; you may cancel at any time, effective at the end of the current period. We may change pricing on notice for upcoming periods.
Indemnification
You will defend, indemnify, and hold harmless Private Car Finder and its affiliates, officers, and staff from and against any claims, damages, penalties, fines, and costs (including reasonable legal fees) arising out of or related to: (a) your messages or outreach; (b) your lack of required consent or your failure to honor opt-outs; (c) your Customer Data; (d) your use of your own Twilio or other connected accounts; or (e) your violation of these Terms or any law or carrier rule.
Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that messages will be delivered, that the Service will be uninterrupted or error-free, or that the Service, on its own, makes your outreach legally compliant — compliance depends on how you use it.
Limitation of liability
To the maximum extent permitted by law, Private Car Finder will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability arising out of or related to the Service will not exceed the amounts you paid to us for the Service in the three (3) months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or legal or security risk. On termination, your right to use the Service ends; we will make Customer Data available for a reasonable period on request, after which it may be deleted.
Governing law
These Terms are governed by the laws of the jurisdiction in which Private Car Finder is established, without regard to its conflict-of-laws rules. If you use the Service in Canada, mandatory consumer-protection laws of your province still apply to you. (Specify your governing state/province and venue here before launch.)
Changes to these Terms
We may update these Terms from time to time. Material changes will be posted here with an updated date, and your continued use of the Service after changes take effect constitutes acceptance.
